By registering for membership at Flixify.com (the "Site") you agree to the following terms. If you don't agree, you should not use the files herein or subscribe to this service.

Any content downloaded or streamed by you from this Site, including, without limitation, any files, text, images, audio, video or otherwise (collectively, the "Content") is licensed to you by Flixify. Downloading or streaming this Content does not transfer title to the Content, or any intellectual property rights therein, to you. You may not redistribute or sell the Content.

This Site contains copyrighted text, photographs, images, video and audio owned by Flixify or its licensors. It is illegal to duplicate, download or distribute any Content from this Site except for your own personal use. You may not use photos or images of people or identifiable entities in any manner that suggests the endorsement or association of any product or service or in connection with any pornographic or immoral materials.

Reviews and Comments

Except as otherwise provided elsewhere in this Agreement or on the Site, anything that you submit or post to the Site and/or provide Flixify.com, including without limitation, ideas, know-how, techniques, questions, reviews, comments, and suggestions (collectively, "Submissions") is and will be treated as nonconfidential and nonproprietary, and Flixify.com shall have the royalty-free, worldwide, perpetual, irrevocable and transferable right to use, copy, distribute, display, publish, perform, sell, lease, transmit, adapt, create derivative works from such Submissions by any means and in any form, and to translate, modify, reverse-engineer, disassemble, or decompile such Submissions. All Submissions shall automatically become the sole and exclusive property of Flixify.com. We won't sell your videos to the mob or do any such thing, we just need to make it clear that if someone else watches your video or reads your comments on our site that you understand you won't be compensated in any way by us.

In addition to the rights applicable to any Submission, when you post comments or reviews to the Site, you also grant Flixify.com the right to use the name that you submit with any review, comment, or other Content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments and other Content that you post on this Site and that use of your reviews, comments, or other Content by Flixify.com will not infringe upon or violate the rights of any third party. You shall not use a false e mail address, pretend to be someone other than yourself or otherwise mislead Flixify.com or third parties as to the origin of any Submissions or Content. Flixify.com may, but shall not be obligated to, remove or edit any Submissions (including comments or reviews) for any reason.

Under no circumstances shall Flixify, advertisers and/or its licensors be liable for any direct, indirect, punitive, incidental, special, or consequential damages that result from, or arise out of the use of, or inability to use, this site, the information contained on or received through use of this site, or any services or products received through this site. this limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Flixify, advertisers and/or its licensors have been advised of the possibility of such damage. because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, Flixify, advertisers and/or its respective licensors' liability in such jurisdictions shall be limited to the maximum extent permitted by law of your jurisdiction.

Indemnification

You agree to defend, indemnify, and hold harmless Flixify, its advertisers, licensors, subsidiaries and other affiliated companies, and their employees, contractors, officers, agents and directors from all liabilities, claims, and expenses, including attorney's fees, that arise from your use of this site, or any services, information or products from this site, or any violation of this Agreement. Flixify reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Flixify in asserting any available defenses.

Legal Compliance

Flixify may suspend or terminate this Agreement or User's use immediately upon receipt of any notice which alleges that User has used this site for any purpose that violates any local, state, federal or law of other nations, including but not limited to the posting of information that may violate third party rights, that may defame a third party, that may be obscene or pornographic, that may harass or assault others, that may violate hacking or other criminal regulations, etc. of its agents, officers, directors, contractors or employees. In such event, Flixify may disclose the User's identity and contact information, if requested by a government or law enforcement body or as a result of a subpoena or other legal action, and Flixify shall not be liable for damages or results thereof and User agrees not to bring any action or claim against Flixify for such disclosure.

Choice of Law and Forum

This site (excluding third party linked sites) is controlled by the Flixify from its offices within the State of Utah, U.S. of America. It can be access from all 50 states as well as from other countries around the world to the extent permitted by site. As each of these places has laws that may differ from Utah, by accessing this site, both you and Flixify agree that the statues and laws of Utah shall apply to any actions or claims arising out of or in relation to this Agreement or your use of this site, without regard to conflicts of laws principles thereof. You and Flixify also agree and hereby submit to the filing of any claim only in the exclusive personal jurisdiction and venue of Utah and any legal proceedings shall be conducted in English. Flixify makes no representation that materials on this site are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. This Agreement shall not be governed by the United Nations Convention on Contracts for the Sale of Goods.
